Terms of Service
Effective November 2, 2026 · Last updated November 2, 2026 · Previous version
These terms are the agreement between your organization (“you,” the “agency”) and MortonApps LLC (“we,” “us”) for the use of Volunteer Ledger at volunteerledger.com and in the Volunteer Ledger mobile app.
1. Agreement to these terms
By creating a workspace, or by accepting these terms in Volunteer Ledger, you agree to these terms on behalf of your organization. Section 11 says when this version applies to a workspace created before November 2, 2026. No one accepts these terms for the agency by signing in, on the web or in the mobile app, or by installing the mobile app. Anyone who signs in agrees to follow section 4 and the limits in Ownership and license (section 12), but does not become a party to these terms. If you do not agree, do not create a workspace or accept these terms.
2. The service
Volunteer Ledger is an online service, on the web and in the mobile app, that helps organizations run their volunteer programs: volunteer records, hours and mileage, requirements, scheduling, recruiting, messages, and reports. For health care agencies it is a companion to the EMR, not a replacement for it, and it is designed to hold no patient information.
The mobile app. The service includes the Volunteer Ledger app for phones and tablets (the “mobile app”). People sign in with the accounts your agency gives them; the mobile app has no sign-up of its own. Anyone your agency gives an active account can use the mobile app as well as the web. To stop someone using it, turn off their access, which ends their mobile app sign-in; section 5 says what stays on their device. People get the mobile app from an app store such as Google Play or Apple’s App Store, whose terms govern downloading and installing it. The stores are not parties to these terms and are not responsible for the mobile app or the service. We may pause the mobile app, require an update, or change which devices and system versions it supports, at any time, including to fix a problem, protect the service, or follow an app store’s rules. Pausing the mobile app does not by itself pause Volunteer Ledger on the web. We may stop offering the mobile app as section 3 (Changes to the service) allows.
3. Free trial, plan, and billing
- Trial: new workspaces start with a free 45-day trial that includes every feature in the plan. No credit card is required to start. A trial workspace where nobody has ever signed in and no records were added may be deleted after 7 days.
- Plans: after the trial, continued full use requires a paid subscription, unless your agency has a lifetime plan or another plan we agreed outside checkout (see Lifetime plans and Other plans agreed outside checkout below). There is one plan, Volunteer Ledger at $59.99/month or $599/year (the standard price for a new subscription, as shown at checkout, plus any applicable sales tax). It includes unlimited volunteers, unlimited hours, unlimited users with admin, staff, read-only, and volunteer roles, and every core feature; optional add-ons, such as text messaging when offered, are billed separately. Launch pricing (dates are U.S. Pacific Time): accounts created on or before December 31, 2026 receive our launch rate of $34.99/month or $349/year if they subscribe on or before December 31, 2026, or later while the free trial they started by that date, including any extension we choose to grant, is still running. The launch rate applies to that subscription, including a switch between monthly and annual billing, and stays fixed for as long as it remains active, including while a failed payment is being retried. If the subscription is canceled and allowed to end, or ends because payment could not be collected, a new subscription is at the standard price then in effect. The launch rate covers the base plan; optional paid add-ons are priced separately. Early adopter pricing (dates are U.S. Pacific Time): a paid subscription purchased at checkout from January 1 through June 30, 2027, including a re-subscription, is $47.99/month or $479/year as shown at checkout instead of the standard price, plus any applicable sales tax, including after a switch between monthly and annual billing. The date a free trial started does not count. It covers the base plan only and may change under Price changes below.
- Lifetime plans: a lifetime plan is one MortonApps LLC has granted to your agency in writing, including by setting your agency’s account to “Lifetime” (shown on its Plan & Billing page). It includes the features of our standard paid plan (not add-ons or higher tiers) as they change over time, free of charge, unless a written agreement says otherwise. Optional paid add-ons, such as text messaging, are not included and are billed separately. We will never end a lifetime plan, or move it to a paid plan, except as section 9 describes for stopping Volunteer Ledger for every agency. We may suspend access under one for a material violation until the violation is cured, but a suspension never ends the plan. A lifetime plan continues if your agency merges, is acquired, or comes under the control of another organization.
- Other plans agreed outside checkout: free or discounted access we give outside checkout, other than a lifetime plan, lasts for the period we state in writing when we give it or, if we state none, until we end it with at least 30 days’ notice; it then ends or moves to a paid plan, as our notice says. A trial extension, a credit, or a discount is not a lifetime plan. A paid plan we bill outside checkout follows Billing, Price changes, and section 9 like any subscription, for the term and price on our invoice, plus any applicable sales tax. These terms apply to every plan.
- Fair use: “unlimited” means we do not charge by the number of volunteers, hours, or users. We may set and publish reasonable limits on storage, file size, and email volume that apply to every agency, and we will tell you before a limit affects your agency.
- Changes to the service: we may change Volunteer Ledger over time. We will give at least 30 days’ notice before we remove a feature you pay for, unless a law or a provider (including an app store) requires a faster change.
- Billing: paid plans bought at checkout are processed by Lemon Squeezy, our merchant of record. Your payment details are held by Lemon Squeezy, not by us. Subscriptions renew automatically for the term you chose (monthly or annually) until you cancel, at the price in effect for your subscription at renewal. You can update your card or cancel at any time from Settings → Plan & Billing, which opens Lemon Squeezy’s secure customer portal. Canceling stops future renewals; your subscription stays active until the end of the period you have paid for. Switching between monthly and annual billing is prorated. We do not refund fees, including for unused time, except where the law requires it, as section 9 says, or under section 5 of our Data Processing Addendum. Unused time becomes credit only when a switch lowers your price during a paid period: the unused value of what you paid is applied to your next charges for the same subscription. Credit has no cash value, cannot be transferred, and ends when your subscription ends, except that section 9 refunds it.
- Lapse: if your trial ends without a subscription, or a subscription lapses, your account becomes read-only: you can still sign in, view your records, and export your data. You can activate again anytime before it is deleted, unless we ended your subscription under section 9. If an account bound by this version of these terms stays read-only for 12 months, counted from the later of the day it became read-only and the day a version of these terms with this rule (the version effective October 9, 2026 or a later one) first applied to it under section 11, we delete it and its data, except the records and copies section 6 says we keep. We delay deletion only while the law, a legal hold, or a claim or investigation (including one we reasonably expect) requires. At least 30 days before we delete, we email notice to your agency’s admins and any billing contact. Volunteer Ledger is not a records-retention system: your agency is responsible for exporting any records it must keep.
- Price changes: we may change prices. A new price applies to new subscriptions when published. For an existing subscription, an increase applies from its first renewal at least 30 days after we tell your agency’s admins about it in Volunteer Ledger or by email, and never to a period already paid. If you do not want the new price, cancel before that renewal. The launch rate and a lifetime plan change only as their own paragraphs allow. A price change under this paragraph is not a change to these terms under section 11.
4. Acceptable use
You agree to use the service only for lawful purposes, and specifically agree not to:
- Enter patient information. No protected health information (PHI), no patient names or identifiers, no clinical details, anywhere, including notes and free-text fields. We do not sign HIPAA Business Associate Agreements (BAAs), because the product is designed to hold no PHI.
- Attempt to access another agency's workspace or data, probe or breach tenant isolation, or circumvent authentication or access controls.
- Interfere with or disrupt the service, or use it to send spam or unlawful communications.
- Resell or sublicense the service without our written agreement.
If patient information is entered anyway, we may delete it without notice, and your agency is responsible for it.
5. Your responsibilities
- Provide accurate account and agency information, and keep it current.
- Have a lawful basis for the volunteer personal information your agency enters into the service.
- Keep your accounts secure: protect passwords, use the role system appropriately (admin, staff, read-only, volunteer), and remove access for people who leave your organization.
- Devices. As between your agency and us, your agency is responsible for the devices its people use with the mobile app, whoever owns them: keeping them locked and secure, and having people sign out of the mobile app, and of Microsoft in the device’s browser, on any device they give up or share. A copy the mobile app saves for offline use is not held by us. It stays on the device until the mobile app erases it (see our Privacy Policy); turning off someone’s access erases it only when the device next connects.
- Tell us promptly at [email protected] if you suspect unauthorized access to your account.
Texting. If your agency turns on texting in Volunteer Ledger, these rules also apply:
- Who sends: texts are sent at your agency’s direction by MortonApps LLC under the Volunteer Ledger name, from its own toll-free number. Your agency chooses who is texted, what is sent, and when. Every text sent for your agency begins “Volunteer Ledger - ” followed by your agency’s name, and ends with opt-out instructions. Our automatic replies to HELP, STOP, and START, and our confirmation of any other opt-out, begin “Volunteer Ledger:”.
- Consent: we text a mobile number only after an organization opt-in or a self opt-in, described below. Either way, we never text a number in a volunteer’s home phone field, and the first text to a number is one welcome text that names Volunteer Ledger and your agency, gives the purpose and how often texts come, says message and data rates may apply, and tells how to reply HELP or STOP. Other than by its confirmation, your agency will not opt in for anyone, including by ticking an opt-in box, following an opt-in link, filling in a form for them, or using an email address it controls, and it will not make agreeing to texts a condition of volunteering. We may rely on these records and on your agency’s confirmation, and we have no duty to check them.
- Organization opt-in: only an agency bound by this version of these terms can turn on texting. When an admin of your agency turns it on, Volunteer Ledger shows how many volunteers will be texted and the welcome text they will get. The admin ticks one confirmation: “I confirm the volunteers we’re signing up are 18 or older and gave us their cell numbers so we can contact them about volunteering, and I agree to sign them up for texts. Each will get a welcome text from +1 877 581 0495 and can reply STOP anytime.” The admin then types the number of volunteers to be texted. Unless your agency chooses not to, it first emails its volunteers a heads-up that names our number, with a contact card, and the welcome texts start at 9 AM on a day the admin picks. While texting is on, each volunteer your agency adds later with a mobile number (by hand, by import, or by approving their application), or makes active again, is covered too and gets the welcome text, unless your agency’s staff choose “Don’t text this volunteer” when adding, importing, or approving them. Adding a volunteer without that choice is your agency’s instruction to send the welcome text. The organization opt-in does not cover anyone who replied STOP, was offered texts before and did not sign up (by leaving the texting box on their application unticked, choosing “No thanks” or turning texts off in the volunteer portal, or not accepting an email invite to texts), was opted out by your agency’s staff, is not an active volunteer (inactive or archived volunteers are skipped), whose number can’t receive texts, or whose date of birth in Volunteer Ledger shows they are under 18. A number shared by more than one volunteer is signed up once and gets one welcome text. A volunteer with no date of birth on file is covered, because your agency confirms its volunteers are 18 or older, so before turning texting on your agency will add the date of birth of any volunteer under 18, as the turn-on screen asks. Volunteers added later are active when added.
- Self opt-in: the person ticks the unchecked box beside the mobile number on your agency’s application form, in the volunteer portal, or from the link in an email invite your agency sends. The box asks the person to confirm they are 18 or older or have a parent’s or guardian’s agreement.
- Your agency’s confirmation: only your agency’s own admin can give it. An admin account held by us, by anyone acting for us, or by any of our members or managers in any capacity (including as your agency’s IT provider or contractor) cannot. By giving it, your agency promises that each volunteer it covers gave your agency their mobile number to be contacted about volunteering, has not told your agency they do not want texts, is 18 or older, and, as far as your agency knows, still uses that number. It makes the same promise for each volunteer it adds later, or makes active again, who is covered, and for each mobile number it enters or changes for a covered volunteer. Your agency will keep a record of how each covered volunteer gave their number (such as their application or a signed form) for 4 years after its last text to them, and will give us a copy within 10 business days when we ask. We record each confirmation: the admin who gave it, when, its exact wording, the count the admin typed, and the volunteers it covers. If we reasonably believe a confirmation is untrue, we may stop texting the volunteers it covers or pause texting for your agency; that is not a breach of these terms. These promises survive the end of your agency’s subscription, its account, and these terms.
- Responsibility: your agency is the sender of every text sent from its workspace, including the welcome text to each number its confirmation covers or that opted in to its texts. It is responsible for each text’s content, including any wording Volunteer Ledger adds, its recipients, and its compliance with the law, including the Telephone Consumer Protection Act, state texting laws, and carrier rules. Section 8’s indemnity applies to the texts your agency sends, as it does to any other message sent through the service. It also applies to any claim, fine, or penalty arising from your agency’s confirmation, with the defense and cooperation terms section 8 sets out. Texts are for volunteering, such as shift changes, reminders, and program updates. Your agency will not use texting for marketing, which includes asking for donations, selling or promoting tickets, goods, services, or events open to the public, and recruiting new volunteers, and will not text about alcohol, tobacco, cannabis, firearms, gambling, or adult content, or anything else carriers prohibit. When a person asks your agency in any way to stop texting them, it will opt them out in Volunteer Ledger promptly, and no later than 10 business days after the request.
- What to expect: message frequency varies. Message and data rates may apply. Texts go out between 9 AM and 8 PM your agency’s local time, except texts its staff send as urgent. Urgent texts are only for closures and safety-related changes, never marketing, and a welcome text is never sent as urgent.
- Opting out: anyone can reply STOP to any text to stop receiving texts at that number. A reply that contains the word “stop,” that is or starts with another opt-out word (such as UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, or OPT OUT), or that clearly asks us to stop texting or says the number is not the person’s, such as “don’t text me,” “remove me from this list,” or “wrong number,” counts too, and we confirm it once by text. We stop texting a number promptly after it opts out, normally at once. A STOP sent to any of our texting numbers, including those of our other products, stops texts from our Volunteer Ledger number; texting START to our Volunteer Ledger number lifts only a STOP that was sent to that number. An opt-out applies to every agency on Volunteer Ledger and cannot be overridden by an agency; the number gets no more texts from our Volunteer Ledger number until the person texts START to it. An opt-out by your agency’s staff is undone only by the person’s own opt-in: in the volunteer portal, with the box on an application form, or on the page linked from the agency’s email invite. Your agency’s confirmation never covers someone its staff opted out. Reply HELP for our support contact. We read replies only to find an opt-out, an opt-in, or HELP, we do not keep their words, and no one answers them: to stop texts, reply STOP, ask your agency, or email [email protected].
- No sharing: texting opt-in and consent information, including the mobile numbers it covers, is never sold, rented, or shared with any third party or affiliate, except the mobile carriers and messaging provider that deliver the texts, and when the law requires it. We may also use or disclose consent records (including agency confirmations) and opt-out records to establish, exercise, or defend legal claims, and show them to your agency, carriers, and our messaging providers as needed for compliance; we keep them for 4 years after an account is deleted for that purpose. Your agency sees the texting status of its own volunteers.
- If you receive these texts: they come from your agency, sent by MortonApps LLC under the Volunteer Ledger name. You get them because you opted in, or because your agency confirmed that you gave it your number to be contacted about volunteering. Reply STOP to stop them and HELP for help. Texts are not an emergency service, and no one at Volunteer Ledger or MortonApps LLC reads replies or acts on them. Your agency decides who is texted and what is sent, and MortonApps LLC owes you no duty to send or deliver any text.
- Delivery is not guaranteed: texts travel through mobile carriers and providers we do not control, and a text can be delayed, filtered, blocked, or not delivered. Mobile carriers are not liable for delayed or undelivered messages. Texting is not an emergency service. We may pause texting for an agency, or for everyone, when a carrier or our messaging provider requires it or to protect our number, and will tell affected agencies promptly; a pause is not a breach of these terms.
- Charges: texting is an optional add-on, billed yearly at the price shown when your agency buys it. Each texting plan includes a set number of texts per subscription year; each text to each person counts, and a longer text can count as more than one. The one-time welcome text to each number never counts against your agency’s texts, on any texting plan or the free 25 texts. A send that would go past what is left is refused. When the texts are used up, texting pauses until the texting plan renews or your agency moves to a larger one; unused texts do not carry over. Moving to a larger texting plan charges its full price that day and starts a new subscription year with its full allowance; texts left on the old plan are not refunded. A move to a smaller plan takes effect at the next renewal. Texting stops while your account is read-only, and the add-on is not refunded except as section 3 says. Every agency’s workspace includes 25 free texts a year, which reset on January 1; while your agency has a texting plan, the plan’s allowance replaces them.
6. Your data
Your agency owns its data. You can export your records at any time: the export bundle and the hours CSV cover the records listed in section 8 of our Data Processing Addendum, and uploaded documents are downloaded one at a time from the volunteer record. If you need data the export does not cover, contact us before deletion and we will help where we reasonably can. An admin of your agency can request deletion of your account and data by emailing [email protected]. We may ask that admin to confirm the request from their Volunteer Ledger account before we act on it. We confirm the request with your agency’s admins and wait 7 days before deleting. If we cannot reach any admin by email, we confirm the request another way before deleting. If any admin objects before we delete, we do not delete the account on that request unless every admin who objected withdraws the objection in writing. The account is otherwise handled as these terms describe, including the Lapse paragraph in section 3 while it is read-only. We do not decide disagreements between your agency’s admins. We may rely on a written instruction from an admin or officer we reasonably believe can act for your agency, and may ask for proof of that authority. An admin account held by us or anyone acting for us cannot request, object to or agree to a deletion, and does not count as reaching your admins. If your agency has a paid plan, it is canceled before we act on the request, so it is not charged again. If your agency’s plan is paid through a later date, we end it when we confirm the request, with no refund for the rest of that period, unless you ask us to keep it until that period ends; we then confirm the request when that period ends. If the deletion is stopped, the canceled plan is not restored: an admin can subscribe again at the price then in effect, but a launch price or a lifetime plan cannot be restored. For a lifetime plan or another plan we agreed outside checkout, we act only on the written confirmation of all of your agency’s admins, because ending that plan cannot be undone. We process your data only to provide, support, and improve the service and, where needed, to comply with the law, enforce these terms, or bring or defend legal claims, and we may create aggregated or de-identified data as section 12 describes; we never sell it, never use it for advertising, and never use it to train AI models, except as our AI provider’s terms allow for content it flags for safety review.
Exceptions to deletion. If your account or data is deleted, we still keep the business records our Privacy Policy describes (including bug reports your staff filed, emails your agency sent us and our replies, our internal alerts about your account, and records of messages our sending service sent for your agency); a record of any email address that bounced, complained, or unsubscribed, or phone number that opted out of texts (the address or number, when, why, and for a phone number, which of our sending numbers it opted out of), kept on a list shared by our products only so that none of them emails that address again or texts that number again; texting records: each mobile number’s consent and opt-out records (when and how it opted in or out, and the consent wording it saw) and whether its welcome text was sent, and your agency’s texting confirmations, including those of a volunteer your agency deleted (marked no longer valid), which we keep for 4 years after the account is deleted, only for compliance and to bring or defend legal claims, and then delete; copies the mobile app saved on devices, which we do not hold and which the mobile app erases when it next connects, as our Privacy Policy describes; copies our subprocessors keep under their own terms, as our Privacy Policy describes; short-lived working copies we make to operate, support, or fix the service, which we delete when we are done; the audit trail of who created, changed, or deleted each hour entry and who saved which settings, which we keep for up to 7 years after each change and never more than 7 years after the account ends; and anything the law, a legal hold, or a claim or investigation (including one we reasonably expect) requires us to keep.
Backups: deleted data can also remain in our encrypted backups for up to 12 months, some locked against change or deletion, even by us, for 90 days (longer under a legal hold). We use backups only for disaster recovery, to undo a deletion we made by mistake or without the notice these terms require (never one your agency confirmed), and where needed to comply with the law or a legal hold or to bring or defend legal claims. If we restore a backup, we take reasonable steps to re-apply deletions made since it was taken.
7. Availability and disclaimers
Volunteer Ledger is provided “as is” and “as available.” The MortonApps Parties (defined in section 8) make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and do not guarantee uninterrupted or error-free operation. None of the MortonApps Parties is responsible for a failure or delay caused by events beyond their reasonable control, including provider, app store, device, or operating system failures or changes, power or internet failures, natural disasters, government action, or attacks on the service.
8. Limitation of liability and indemnity
“The MortonApps Parties” means MortonApps LLC, every party that has held these terms after a transfer under Assignment in section 12, their affiliates, and their members, managers, officers, employees, contractors, and agents. To the maximum extent permitted by law, none of the MortonApps Parties will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. The MortonApps Parties’ total liability, together, for all claims arising out of or relating to the service, these terms, or the Data Processing Addendum, including claims about our subprocessors, is limited to the fees your agency paid for the service (to us, or to Lemon Squeezy for us) in the 12 months before the first event giving rise to liability, or $100 if it paid none. You agree to bring any claim only against the party that held these terms when the events the claim is about happened (MortonApps LLC, or a party that held them after a transfer under Assignment in section 12), and not against any other MortonApps Party. This section does not limit liability that section 1668 of the California Civil Code does not let a contract limit, but only to the extent that section requires.
Indemnity. Your agency will defend, indemnify, and hold harmless the MortonApps Parties from any third-party claim, fine, or penalty, and related costs and reasonable attorneys’ fees, arising from information or files your agency or its users enter or upload, messages your agency sends through the service, any texting confirmation your agency gives under section 5 (including a claim that a person it covered did not agree to get its texts, even if the claim is made against us as the party that sent them), or your agency’s breach of section 4 or 5, except to the extent caused by our breach of these terms. This indemnity covers claims by third parties only and does not award attorneys’ fees in a dispute between your agency and us.
Texting consent claims. For a claim that a person did not agree to texts sent from your agency’s workspace, or any other claim arising from your agency’s texting confirmation under section 5: we will tell your agency promptly after we learn of it, and a delay excuses your agency only to the extent the delay harms it; your agency will defend it, with counsel we reasonably accept, until a final judgment or our written agreement finds the loss was caused by our breach of these terms; your agency will cooperate and give us its records of how the person gave their number; we may take part with our own counsel at our own cost; and your agency will not settle it in a way that admits fault for, or binds, any MortonApps Party without our written consent.
9. Suspension and termination
You can stop using the service at any time, and you can request deletion of your data as described above. We may suspend or terminate access for material violation of these terms (most seriously, entering patient information or attempting to breach tenant isolation) after notice where practical. Section 3 limits this to suspension for a lifetime plan.
We may end your subscription or free trial, or stop offering a plan, with at least 30 days’ notice by email to your agency’s admins and any billing contact. A monthly subscription then ends at its first renewal date at least 30 days after our email, and no refund is due. Any other subscription ends on the date in our notice, and we refund the unused part of the price you paid for that period, excluding taxes, prorated by day, plus any unused credit, through Lemon Squeezy, or directly if it cannot. If we end your subscription under this paragraph, we do not have to accept a new one from your agency; if we do, it keeps the price it had, which can change only as section 3 allows for that subscription. This paragraph does not let us end a lifetime plan or move it to a paid plan; one ends only if your agency cancels it or we stop offering Volunteer Ledger to every agency. Other plans agreed outside checkout end as section 3 describes.
If we stop offering Volunteer Ledger, we give at least 90 days’ notice by email to your agency’s admins and any billing contact. We may give shorter notice only if the law, a court or government order, the loss of a provider we cannot reasonably replace, a serious security threat, or our insolvency makes 90 days impossible; we then give as much notice as we reasonably can. Either way, you can export your data until the service ends, at least 30 days after the end date, and we refund prepaid fees for any subscription period after the end date (a complimentary or lifetime plan has no prepaid period to refund). We will not end subscriptions to stop offering Volunteer Ledger sooner than the notice above allows.
Except as this section and section 6 provide, ending a subscription or access does not erase your data at once. Lapsed and terminated accounts become read-only with export access, unless the violation makes that unsafe, and are deleted under the Lapse paragraph in section 3; an account whose access we end for a violation is deleted 12 months after access ends, on the notice that paragraph describes. If we stop offering Volunteer Ledger, your agency can still export its data for at least 30 days after the end date in our notice; we then delete it, with the exceptions in section 6, without the 12-month read-only period in section 3.
10. Governing law and disputes
These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state courts in San Joaquin County, California, or the U.S. District Court for the Eastern District of California. Your agency must bring any claim arising out of or relating to these terms or the service within one year after it knew, or reasonably should have known, of the claim, to the extent the law allows; a later claim is barred.
11. Changes to these terms
This version of these terms applies to a workspace created on or after November 2, 2026 from signup. It applies to a workspace created before that date only from the moment one of its admins accepts it in Volunteer Ledger, including by subscribing or changing a subscription on a screen that says doing so accepts these terms. Continued use of the service does not accept it. Until an admin accepts, the version your agency last agreed to, with the Privacy Policy and Data Processing Addendum that went with it, keeps governing your agency, and nothing in this version applies to it, including the Lapse deletion rule in section 3. Earlier versions stay available through the Previous version link at the top of this page.
Your agency decides who its admins are, and by giving someone admin access it authorizes them to accept updated terms on its behalf, including an admin who is a contractor or IT provider. An acceptance is valid only if the admin confirms that authority when accepting, and that confirmation is recorded with it. An admin account held by us, by anyone acting for us, or by any of our members or managers in any capacity (including as your agency’s IT provider or contractor) cannot accept for your agency. If we change these terms again, we will post the new version on this page with a new date and tell your agency’s admins in Volunteer Ledger or by email, asking an admin to review and accept it. A new version applies to your agency only once an admin accepts it, as that version describes; until then, the version your agency accepted keeps governing it.
12. General
- Entire agreement. These terms, the Data Processing Addendum, the order details shown at checkout, and any written agreement signed by your agency and us are the whole agreement between your agency and us about the service. A written agreement signed by your agency and us means a document that says it adds to or changes these terms and is signed by your agency and, for us, by our manager or an authorized officer. Apart from what these terms themselves let us agree in writing (such as a lifetime plan or another plan agreed outside checkout under section 3), nothing else adds to or changes these terms, even if we sign it, reply to it, or act on it, including a purchase order, invoice, vendor form or questionnaire, business associate agreement, policy, or email. Our Privacy Policy explains how we handle personal information; it is part of this agreement only where these terms or the Data Processing Addendum refer to it for a specific point, such as the list of subprocessors or how long we keep data. Our website, marketing, and sales materials describe the service but do not add promises to it.
- Order of documents. If these documents conflict, a written agreement signed by your agency and us controls on what it covers. Otherwise, these terms control on liability (sections 7 and 8), fees and refunds, and termination; on everything else about how we handle personal data for your agency, the Data Processing Addendum controls, then the Privacy Policy. The texting page at volunteerledger.com/texting repeats the texting rules in section 5; if it ever differs, these terms control. On anything else, these terms control.
- No third-party beneficiaries. No one other than your agency and us has rights under these terms, except that the MortonApps Parties may rely on sections 7, 8, and 10.
- Survival. Sections 6 (the exceptions to deletion and backups), 7, 8, 10, and 12, the texting confirmation and responsibility paragraphs of section 5, and any unpaid fees, survive the end of a subscription, an account, or these terms.
- Notices. We give notice by email to your agency’s admins and any billing contact, or in Volunteer Ledger, and notice is given when sent. If an email to one of them bounces or cannot be sent, notice is given when we send it to another of them or post it in Volunteer Ledger. Keep at least one admin’s email address current and able to receive our email.
- Ownership and license. We and our licensors own Volunteer Ledger, including its software, design, and documentation, and all rights in them, except your agency’s data. While your agency’s trial, subscription, or plan is active, and while its account is read-only, we give it a limited, non-exclusive, non-transferable right to use the service for its own operations under these terms. That includes installing and using the mobile app on the devices of people your agency gives access. Your agency may not copy, modify, or reverse engineer the service, use it to build a competing product, or let anyone else do so.
- Feedback. If your agency or its users send us ideas, suggestions, or feedback, we may use them for any purpose without paying or crediting anyone, and we own what we build from them.
- Usage and aggregated data. We may collect and use information about how the service is used and performs (such as feature use, email volumes, delivery results, timing, and errors). Where that information identifies a person, we use it only to run, secure, support, and improve Volunteer Ledger and to set and enforce fair use, and it stays your agency’s data under section 6 and the Data Processing Addendum. We may also create data that we aggregate or de-identify so that it does not identify your agency or any person, and we will not try to re-identify it. We own that aggregated and de-identified data and may use it for any purpose, including to improve our other products and to publish statistics. This does not let us sell your agency’s data or use it for advertising.
- Assignment. We may transfer these terms, without your agency’s consent, to an affiliate or to a successor in a merger, acquisition, reorganization, or sale of all or part of the service, by notice to your agency’s admins. From the date in that notice, “we” and “us” in these terms, the Privacy Policy, and the Data Processing Addendum mean the party that then holds these terms. Your agency may not transfer them without our written consent.
- No waiver. If we do not enforce a part of these terms, we have not waived it.
- Severability. If part of these terms cannot be enforced, the rest still applies, and that part is enforced as far as the law allows.
